Job Posting: Corporate Senior AssociateAbout Us: Distinguished business law firm specializing in serving government contractors and commercial businesses, is currently seeking a Corporate Senior Associate to join our dynamic Business & Transactions practice group. With a commitment to excellence, innovation, and client satisfaction, our firm has established itself as a leader in providing top-tier legal services.Position: Corporate Senior AssociateLocation: Washington, DCResponsibilities:As a Corporate Senior Associate, you will be responsible for:
- Leading Mergers & Acquisitions transactions, including the management of in-house and outside counsel teams.
- Drafting and negotiating purchase agreements, financing agreements, and other transaction documents.
- Coordinating due diligence processes and overseeing successful transaction closings.
- Acting as counsel to buyers and sellers in complex mergers, business restructurings, asset purchase and sale transactions, equity purchase and sale transactions, financing rounds from individual investors, private equity, and venture capital firms.
- Handling executive compensation and synthetic equity offerings.
- Demonstrating expertise in entity formation and structuring, limited liability company agreements, shareholders agreements, partnership agreements, employee incentive plans, and commercial lending transactions.
Qualifications:The ideal candidate should possess:
- Admitted to practice in District of Columbia. Maryland and/or Virginia admissions are encouraged
- 7+ years of Corporate law experience.
- Proven experience in leading and managing M&A transactions.
- Exceptional negotiation and communication skills.
- Sharp attention to detail and the ability to work effectively in a collaborative team environment.
- Experience with government contractors in M&A and Corporate matters is a plus.
